These terms govern your use of Ada. By creating an account or using the service, you accept them in full. Read them — they contain important limitations on liability and your rights regarding AI-generated content.

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding legal agreement between you ("you", "user") and the operator of Ada ("we", "us", "our"). By accessing or using Ada at any URL where this service is hosted, creating an account, or otherwise engaging with the service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use Ada.

2. Description of Service

Ada is a browser-based AI coding assistant. It provides code generation, debugging, refactoring, code review, and related developer assistance via a chat interface powered by the Anthropic Claude API. Ada includes a live preview panel that renders HTML, CSS, and JavaScript output in real time.

Ada is a coding-only tool. It does not provide advice on legal, financial, medical, or other professional matters unrelated to software development.

We reserve the right to modify, suspend, or discontinue the service — or any part of it — at any time. We will make reasonable efforts to provide advance notice of significant changes.

3. Eligibility

You must be at least 16 years old to use Ada. If you are between 16 and 18, you represent that you have obtained parental or guardian consent. By using Ada, you confirm that you meet these age requirements.

Ada is intended for use by individuals. If you are using Ada on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

4. Account Registration and Security

To access Ada, you must create an account using a valid email address or via a supported OAuth provider (currently GitHub and Google). You agree to provide accurate and complete registration information and to keep it up to date.

We will not be liable for losses resulting from unauthorised use of your account where you have failed to keep your credentials secure.

You may not share your account with others, create accounts on behalf of others without their knowledge, or use automated means to create accounts.

Ada is a professional developer tool. You agree to use it only for lawful purposes and in a manner consistent with these Terms.

Pricing and tier features are subject to change. We will provide at least 30 days' notice before changing the price of an existing paid subscription.

Paid subscriptions are billed monthly in advance via Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring monthly basis until you cancel.

All prices are listed in USD. You are responsible for any applicable taxes, currency conversion fees, or charges applied by your payment provider.

If a payment fails, we may suspend your access to paid features until the outstanding amount is settled.

Each plan includes a monthly spend ceiling based on underlying API costs. This ceiling resets at the start of each billing period. Hitting the ceiling blocks further AI requests until the reset — it does not result in additional charges beyond your subscription fee.

Free plan users are also subject to a monthly message count cap. The specific limits for each plan are displayed in the app.

8. Cancellation and Refunds

You may cancel your paid subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then.

We do not offer refunds for partial billing periods except where required by applicable law. If you believe you have been charged in error, contact us within 30 days at [email protected] and we will review your case.

If we terminate your account due to a breach of these Terms, you are not entitled to a refund.

9. Intellectual Property

Ada, including its interface, design, branding, underlying code, and all associated intellectual property, is owned by or licensed to us. These Terms do not grant you any ownership rights in the service. You may not copy, reproduce, distribute, or create derivative works of any part of Ada without our express written permission.

Subject to Anthropic's usage policies, code and content generated by Ada in response to your prompts ("Output") is provided for your use. We do not claim ownership of Output. You are free to use Output for any lawful purpose, including commercial projects, subject to the disclaimers in Section 6.

You acknowledge that similar Output may be generated for other users and that we make no guarantee of exclusivity.

10. Your Content

When you send messages, code, or other content to Ada ("Input"), you retain ownership of that content. By submitting Input, you grant us a limited, non-exclusive licence to process it for the purpose of delivering the service — including transmitting it to Anthropic's API to generate a response.

We do not use your Input to train AI models. However, Anthropic may process your Input subject to its own privacy policy and terms. See Section 11.

You are responsible for ensuring that any Input you submit does not contain confidential information belonging to third parties without authorisation, violate any third-party intellectual property rights, or breach any applicable law.

We are not responsible for the availability, security, or practices of third-party services. Your use of Ada is also subject to the terms of these providers.

12. Disclaimers

Ada is provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties including but not limited to:

We do not warrant that Ada will meet your requirements or that results obtained from Ada will be accurate or reliable. You assume all risk associated with your use of the service and any content generated by it.

13. Limitation of Liability

To the maximum extent permitted by applicable law, we and our affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

In any case, our total aggregate liability to you for all claims arising out of or related to these Terms or your use of Ada shall not exceed the greater of (a) the amount you paid us in the 3 months preceding the claim, or (b) €50.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Either party may terminate these Terms at any time.

You may close your account at any time via account settings or by contacting us. Upon account closure, your data will be handled as described in our Privacy Policy.

We may suspend or terminate your account immediately and without prior notice if we reasonably believe you have materially breached these Terms, engaged in fraudulent activity, or pose a risk to other users or the service. We will make reasonable efforts to notify you after the fact where legally permitted.

Upon termination, your right to access the service ends immediately. Sections 6, 9, 12, 13, 14, and 17 survive termination.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify active users via the email address associated with their account at least 14 days before the changes take effect.

Your continued use of Ada after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the service before the effective date.

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or in connection with these Terms shall first be addressed by contacting us in writing at [email protected]. We will make reasonable efforts to resolve disputes informally within 30 days.

If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of Denmark. If you are a consumer located in the EU, you may also use the EU Online Dispute Resolution platform.

Nothing in this section prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.
